When do you need to file your confirmation statement to Companies House ?

Confirmation Statement is a document that limited companies and limited liability partnerships (LLPs) are required to file with Companies House every year. The Confirmation Statement replaces the previous Annual Return.

The Confirmation Statement provides Companies House with important information about the company or LLP, including:

  • Details of the company’s directors, shareholders, and people with significant control (PSCs).

 

  • Information about the company’s share capital, including the number and type of shares issued.
  • Details of any changes to the company’s registered office address, SIC code (Standard Industrial Classification), or statement of capital since the last confirmation statement was filed.
  • Details of any mortgages or charges that the company has created or satisfied since the last confirmation statement was filed.
  • Any other relevant information that Companies House may require.

Companies are required to file their Confirmation Statement within 14 days of the end of the review period, which is typically 12 months from the date of incorporation or the date of the last Confirmation Statement.

Failure to file a Confirmation Statement can result in fines and potentially the striking off of the company from the Companies House register.
